Read below to understand the terms and conditions that apply to law firms accessing the commercial lending forms on this website.

Terms of Use

M&T Bank ("M&T") makes available on this website (the "Site") for your and your Law Firm's (defined below) use, M&T's downloadable commercial lending forms and other M&T information (collectively, "E-Forms"). The Site and the E-Forms are to be accessed and used only by you if you are a member or employee of a law firm that has been approved by M&T ("Law Firm"), which has executed and delivered the E-Forms License Agreement ("License Agreement") and is in good standing thereunder. You and your Law Firm's use of the Site and E-Forms is subject to the terms and conditions set forth in this document and the License Agreement (collectively, the "Terms of Use"). By accessing or using the Site or E-Forms, you and your Law Firm agree to the Terms of Use. If you or your Law Firm breach any of the Terms of Use, the Law Firm's authorization to use E-Forms and this Site automatically terminates and you and your Law Firm must immediately cease accessing the Site and destroy any form documents or other information acquired through E-Forms or the Site.

Use of E-Forms and Services

You and your Law Firm may view, download and print documents or other information available through E-Forms and the Site only in accordance with the terms and conditions in the License Agreement.

Warranties and Disclaimers

Except as expressly provided otherwise in a written agreement between the Law Firm and M&T, E-Forms and the Site are provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose, or the warranty of non-infringement. The use of E-Forms or the Site is done at your and your Law Firm's own discretion and risk and with your and your Law Firm's agreement that you and your Law Firm will be solely responsible for any damage to your or your Law Firm's computer system or loss of data that results from such activities.

Governing Law

This Site and E-Forms are controlled by M&T from its offices within the State of New York, United States of America. By accessing this Site, you, your Law Firm and M&T agree that all matters relating to your or your Law Firm's access to, or use of, the Site and E-Forms shall be governed by the statutes and laws of the State of New York, without regard to the conflicts of laws principles thereof.
